1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ValleyUnit ("we," "us," or "our") governing your access to and use of the ValleyUnit website, platform, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age.
  • Be a legal resident of the United States.
  • Have the legal capacity to enter into binding contracts.
  • Not be prohibited from using the Service under applicable law.

For landlord accounts, you must own or have legal authority to manage the rental properties you add to the platform.

3. Account Registration

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

3.2 Account Security

You are responsible for safeguarding your password and any other credentials used to access your account. We strongly recommend enabling multi-factor authentication (MFA) for landlord accounts. You agree not to share your login credentials with any third party.

3.3 Tenant Accounts

Tenant accounts are created through invitation by a landlord. By accepting an invitation and creating a tenant account, the tenant agrees to these Terms.

4. Service Description

ValleyUnit provides a rent collection platform for independent landlords managing rental properties. The Service includes:

  • Property and unit management.
  • Tenant invitation and management.
  • Online rent collection via Stripe.
  • Automated late fee calculations.
  • Maintenance request tracking.
  • Landlord-tenant messaging.
  • Financial reporting and ledger tracking.

4.1 Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

4.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.

5. Subscriptions and Billing

5.1 Free Trial

New landlord accounts receive a 30-day free trial with full access to the Service. At the end of the trial period, you must subscribe to a paid plan to continue using the landlord features.

5.2 Subscription Plans

We offer tiered subscription plans based on the number of units managed. Current pricing is available on our Pricing page. Subscriptions are billed monthly or annually, depending on your selection.

5.3 Payment

Subscription payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.

5.4 Plan Changes

You may upgrade your plan at any time, with prorated billing for the remainder of your billing cycle. Downgrades take effect at the end of your current billing period. If your unit count exceeds your plan limit, you must upgrade to continue adding units.

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

5.6 Failed Payments

If a payment fails, we will attempt to collect payment and notify you. After a 7-day grace period, your account access may be restricted until payment is successful.

6. Rent Payments

6.1 Payment Processing

Tenant rent payments are processed by Stripe. ValleyUnit does not hold or process rent funds directly. When a tenant pays rent:

  • Funds are transferred directly to the landlord's connected Stripe account.
  • Stripe processes the transaction and deposits funds according to Stripe's payout schedule.
  • Standard Stripe processing fees apply (paid by the landlord).

6.2 Stripe Connect

Landlords must connect a Stripe account to receive rent payments. By connecting your Stripe account, you agree to Stripe's Connected Account Agreement and Terms of Service.

6.3 Funds Disclaimer

ValleyUnit is a software platform that facilitates rent collection. We do not act as a bank, payment processor, or escrow service. We do not hold tenant funds at any time. All payment disputes should be directed to Stripe or resolved between landlord and tenant.

6.4 Late Fees

Landlords may configure automatic late fees through the platform. Late fees are calculated and applied according to lease terms set by the landlord. Landlords are responsible for ensuring late fee terms comply with applicable state and local laws.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Engage in fraudulent, deceptive, or misleading practices.
  • Harass, abuse, or threaten other users.
  • Upload or transmit viruses, malware, or other harmful code.
  • Attempt to gain unauthorized access to the Service or other users' accounts.
  • Interfere with or disrupt the Service or servers.
  • Scrape, data mine, or collect information from the Service without permission.
  • Use the Service for any illegal purpose, including housing discrimination.
  • Violate fair housing laws or engage in discriminatory practices.

8. User Content

8.1 Your Content

You retain ownership of content you submit to the Service (property information, messages, documents, etc.). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content as necessary to provide the Service.

8.2 Content Responsibility

You are solely responsible for the content you submit. You represent that you have all necessary rights to submit such content and that it does not violate any third-party rights or applicable laws.

8.3 Content Removal

We may remove content that violates these Terms or applicable law, without prior notice.

9. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by ValleyUnit and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. You may not reverse engineer or attempt to extract the source code of the Service.

The ValleyUnit name, logo, and all related names, logos, and slogans are trademarks of ValleyUnit. You may not use these marks without our prior written permission.

10. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to our Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Service will be uninterrupted, error-free, or secure.
  • Warranties regarding the accuracy or reliability of any information obtained through the Service.

11.1 Legal and Tax Advice

ValleyUnit is not a law firm, accounting firm, or tax advisor. The Service provides tools for managing rental properties but does not constitute legal, tax, or financial advice. You should consult qualified professionals for legal and tax matters.

11.2 Landlord-Tenant Relationships

ValleyUnit does not participate in landlord-tenant relationships. We are not a party to any lease agreement. Disputes between landlords and tenants should be resolved between the parties or through appropriate legal channels.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALLEYUNIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities.
  • Loss of data or data corruption.
  • Failure to collect rent or late fees.
  • Errors in calculations or reports.
  • Service interruptions or downtime.
  • Third-party actions, including Stripe or payment failures.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless ValleyUnit and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Your violation of applicable laws, including fair housing laws.
  • Disputes with tenants or other users.

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings, or by contacting support.

14.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms.
  • Engage in fraudulent or illegal activity.
  • Fail to pay subscription fees after the grace period.
  • Create risk or legal exposure for ValleyUnit.

14.3 Effect of Termination

Upon termination:

  • Your access to the Service will be revoked.
  • You may request an export of your data within 30 days.
  • We may retain certain information as required by law or for legitimate business purposes.
  • Provisions that by their nature should survive termination will remain in effect.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at support@valleyunit.com to attempt to resolve any dispute informally. We will work in good faith to resolve disputes within 30 days.

15.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in the state of Delaware. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

15.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

17. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

  • Posting the revised Terms with an updated "Last updated" date.
  • Sending an email notification to registered users for material changes.

Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ValleyUnit regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ValleyUnit.
  • Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.

20. SMS / Text Messaging Communications & TCPA Consent

20.1 Express Written Consent

By providing your mobile phone number to ValleyUnit, completing the in-account phone-verification step, and toggling on one or more SMS notification categories, you give your express written consent under the Telephone Consumer Protection Act (TCPA) and applicable federal and state law to receive autodialed and pre-scheduled, non-marketing transactional text messages from Espinosa Bookkeeping LLC (doing business as ValleyUnit) at the mobile number you provided. Consent to receive these texts is not a condition of any purchase, subscription, or service.

20.2 Scope of Consent

ValleyUnit SMS messages are transactional only and may include: rent-charge notices, payment receipts, payment-plan status, late-fee assessments, lease updates, and account-security events (for example, new-device login, password reset, payout bank-account change). ValleyUnit does not use SMS for marketing or promotional purposes.

20.3 Message Frequency and Carrier Rates

Message frequency varies based on activity in your account. Message and data rates may apply. Standard messaging rates from your mobile carrier may apply to each message you send or receive. ValleyUnit does not charge you for the messages themselves. Contact your wireless carrier for details on your messaging plan.

20.4 STOP and HELP Keywords

You may revoke your consent at any time by replying STOP to any ValleyUnit text message (STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE, and OPTOUT are also accepted). After you opt out, you will receive one final confirmation message and ValleyUnit will not send any further texts to that number unless you opt back in. Reply HELP (or INFO) to any ValleyUnit text message for help and support contact details. You may also turn SMS notifications off at any time inside your account settings.

20.5 Your Responsibilities

You agree to (a) provide a phone number that you own or are authorized to use; (b) keep your phone number current in your ValleyUnit account; and (c) opt out of SMS or remove the number from your account before transferring, canceling, or relinquishing the phone number. You will not hold ValleyUnit liable for messages sent to a number you no longer control when you have not updated your account.

20.6 SMS Service Provider

ValleyUnit uses Twilio Inc. as its SMS delivery service provider. See Section 6 of the Privacy Policy for full details on how mobile information is used and stored.

20.7 No Sharing of Mobile Information for Marketing

Mobile information (phone number, opt-in status, and consent records) will not be shared with third parties or affiliates for marketing or promotional purposes. See Section 6.3 of the Privacy Policy for the full disclosure. The complete consent flow, sample messages, and keyword behavior are documented on the SMS Consent page.
